Seller Terms of Service
TheSoleRoom Seller Agreement
1. Eligibility
To sell on TheSoleRoom you must be at least 18 years old, based in the United States, and provide a valid government-issued ID during the application process. All applications are subject to review and approval at our sole discretion.
2. Commission & Fees
TheSoleRoom charges a 7% flat commission on each sale. Payment processing fees (currently 2.9% + $0.30 per transaction via Stripe) are deducted from your payout in addition to the commission. You receive the remainder on the 11th day after delivery, provided no return is open.
Commission on Returns: If a buyer returns an item and the return is approved, TheSoleRoom will refund the 7% commission to the seller. Stripe's processing fees (2.9% + $0.30) are non-recoverable and remain deducted — this is a Stripe policy outside our control.
Exception — Seller-Fault Returns: The commission is not refunded if the return is caused by seller error, including: item not as described, wrong item shipped, counterfeit or replica goods, or item arriving damaged due to inadequate packaging. In these cases the full 7% commission is forfeited.
TheSoleRoom reserves the right to adjust the commission rate with 30 days' written notice to active sellers.
3. Authenticity Guarantee
All items listed on TheSoleRoom must be 100% authentic. Listing, selling, or shipping replicas, counterfeits, or items materially different from their description is grounds for immediate and permanent account suspension. Sellers are fully liable for any claims, chargebacks, or legal action arising from counterfeit goods.
4. Shipping
Sellers are responsible for fulfilling and shipping all orders. You must ship within 24 hours of a confirmed sale (Monday–Friday). Orders not shipped within 24 hours will be automatically cancelled and the buyer fully refunded. TheSoleRoom offers free shipping to all buyers — shipping costs are your responsibility as the seller and are deducted from your payout.
Saturday Shipping (Optional): Sellers may opt into Saturday shipping via their dashboard settings. Sellers who ship on Saturdays receive a "Ships Saturday" badge on their listings, giving them a competitive advantage in search results.
Vacation Mode: Sellers may temporarily pause their store via dashboard settings. While in vacation mode, all listings are hidden from buyers and no new orders can be placed. Active in-progress orders must still be fulfilled before activating vacation mode, or arrangements must be made with the buyer. You may add an optional message visible to your store visitors explaining the pause.
Sellers are responsible for providing accurate tracking information and must use a carrier that provides scan-based tracking (e.g. USPS, UPS, FedEx, DHL).
Lost in Transit: If a package fails to arrive and the carrier has not recorded a delivery scan, the seller bears the initial loss. Under TheSoleRoom's Buyer Protection Policy, the seller must issue the buyer a full refund. The seller may then recoup the loss by filing a shipping insurance or carrier claim independently — TheSoleRoom is not a party to that claim.
Lost After Delivery: Once the carrier records a Delivered scan to the buyer's address, the seller's shipping obligation is fully met. TheSoleRoom will not hold sellers liable for packages stolen after delivery (porch theft) or carrier misdelivery occurring after a confirmed delivery scan.
5. Returns
0–10 days from delivery: Buyers may return items for any reason. Return shipping is provided free of charge and the cost is deducted from the seller's payout. The 7% commission is refunded to the seller (Stripe fees are non-recoverable).
11–30 days from delivery: Returns are accepted at the buyer's expense. The 7% commission is refunded to the seller (Stripe fees are non-recoverable).
After 30 days: All sales are final.
Not as described: If a buyer receives an item significantly different from its listing description, the seller bears the full cost of return shipping and the buyer receives a full refund. The 7% commission is forfeited — this is a seller-fault return. This window is 10 days from delivery.
Replica claims: Must be submitted within 30 days of delivery with supporting documentation. When a replica claim is opened, the seller's listings are placed on temporary hold and the seller is notified immediately. The seller has 3–5 business days to respond with proof of authenticity — such as an original purchase invoice, distributor receipt, or brand authorization letter. If sufficient proof is provided, the hold is lifted and the claim is dismissed. If no proof is submitted within the window, or the documentation is deemed insufficient, the claim is verified, resulting in a full refund to the buyer, forfeiture of the 7% commission, and permanent account suspension.
6. Payouts
Seller payouts are held for 10 days after confirmed delivery. On the 11th day, if no return is open, funds are released to your Stripe account. TheSoleRoom uses Stripe Connect for all payouts.
7. Order Cancellations
Sellers may cancel orders that have not yet shipped, subject to the following monthly limits:
- Sneaker orders (Men's, Women's, Kids' footwear): up to 2 cancellations per rolling calendar month.
- Other items (Accessories, Handbags): up to 1 cancellation per rolling calendar month.
- Total cap: no more than 3 seller-initiated cancellations per calendar month, across all categories combined.
Counters reset on the 1st of each calendar month. Cancellations caused by a buyer request or by TheSoleRoom platform action do not count against these limits — only seller-initiated cancellations are tracked.
Consequences of exceeding limits: Once the monthly limit is reached, the cancellation endpoint is blocked and you must fulfill or contact support. Repeated violations (two months in any rolling 6-month window where the limit is hit) will result in a formal warning. A third violation triggers a 30-day listing pause pending review.
Cancelled orders result in a full buyer refund. TheSoleRoom will not refund the 7% commission on seller-initiated cancellations after the order was confirmed — the commission is forfeited as a buyer-trust penalty.
8. Prohibited Items & Intellectual Property
The following are strictly prohibited on TheSoleRoom:
- Counterfeit, replica, or unauthorized reproduction goods of any kind
- Items described with terms such as "UA" (unauthorized authentic), "1:1," "AAA grade," "reps," "inspired by," or any similar language implying non-authentic goods
- Stolen merchandise or items obtained through fraudulent means
- Items that infringe any trademark, copyright, patent, or other intellectual property right of any brand or third party
- Any items prohibited by applicable federal, state, or local law
Violation of this section may result in immediate listing removal, fund freezing, account suspension, and referral of your information to the brand or relevant authorities.
8a. Brand Non-Affiliation & Listing Responsibility
TheSoleRoom is not affiliated with, endorsed by, or authorized by any brand whose products are listed on the platform. Brand names appearing in your listings are trademarks of their respective owners. You, as the Seller, bear sole responsibility for ensuring your use of any brand name, logo, or trademark in your listings is lawful — including that the goods are genuine and that your use of the brand name constitutes permissible nominative fair use to identify the product.
Any "Seller-Verified" badge or authenticity designation on your listings reflects your own declaration and pledge, not a certification or endorsement by TheSoleRoom or any brand owner. TheSoleRoom makes no representation to buyers that listed items are certified, approved, or authenticated by any brand.
If a brand or trademark owner contacts TheSoleRoom claiming your listing infringes their rights, TheSoleRoom will remove the listing pending investigation. The legal and financial exposure for any infringement claim rests entirely with you as the Seller.
8b. Seller Data Disclosure Policy
TheSoleRoom does not voluntarily share your personal information, account data, identity, payout details, or transaction history with brands, trademark owners, law enforcement agencies, or any third party except in the following circumstances:
- We receive a valid court order, subpoena, or other binding legal process compelling disclosure
- Disclosure is required to comply with applicable federal or state law
- Disclosure is necessary to prevent imminent harm, fraud, or illegal activity
- You have provided explicit written consent
Where legally permitted, TheSoleRoom will endeavor to notify you before disclosing your information in response to legal process. You acknowledge that TheSoleRoom cannot guarantee advance notice in all circumstances, particularly where a court order prohibits such notice.
TheSoleRoom cooperates with valid legal process from courts and government agencies. Cooperation with lawful legal demands does not constitute a voluntary disclosure and does not create liability for TheSoleRoom toward you.
9. Indemnification
You agree to defend, indemnify, and hold harmless TheSoleRoom, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your listings, products, or any goods you sell through the platform
- Any claim by a brand, trademark owner, or intellectual property rights holder that your listings infringe their rights
- Any actual or alleged counterfeit, replica, or unauthorized goods you list or ship
- Your violation of these Seller Terms, platform policies, or any applicable law
- Any claim by a buyer arising from a product you listed or sold
This indemnification obligation survives the termination of your seller account. TheSoleRoom reserves the right to assume exclusive control of any matter subject to indemnification by you, at your expense, and you agree to cooperate fully with our defense of any such claim.
10. DMCA & IP Takedown Compliance
TheSoleRoom respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA) and applicable trademark law. When TheSoleRoom receives a valid takedown notice from a brand or rights holder, we will promptly remove the reported listing and notify the seller.
If a brand or third party submits a takedown notice and it is later determined that the listing was authentic and lawful, the seller may submit a counter-notice. Repeated takedown notices against a seller's listings — even if individually resolved — may result in heightened review, listing restrictions, or account suspension under our three-strike policy.
Sellers who receive multiple valid IP complaints are subject to fund freezing pending investigation and may be required to produce proof of authenticity (original purchase invoices, distributor receipts, or brand authorization letters) before funds are released.

11. Account Suspension & Termination
TheSoleRoom may suspend or permanently ban seller accounts for policy violations, fraudulent activity, repeated negative buyer reviews, excessive return rates, failure to ship orders in a timely manner, or intellectual property violations. Suspended accounts forfeit access to all listing tools; pending payouts may be held during investigation.
12. Federal Tax Reporting & Form 1099-K
TheSoleRoom is required by the IRS to issue Form 1099-K to sellers whose gross sales on the platform meet or exceed the applicable reporting threshold in a calendar year. For the current tax year, the threshold is $600 in gross sales.
If you meet this threshold, you will receive a 1099-K from TheSoleRoom by January 31 of the following year, and a copy will be filed with the IRS. Your 1099-K will reflect your gross sales — before platform commission, processing fees, refunds, or other deductions. It is not your taxable profit; you are responsible for deducting allowable business expenses when filing your income taxes.
To ensure we can issue your 1099-K, you must provide accurate tax information (legal name, address, and either your Social Security Number or Employer Identification Number) when requested. We will reach out via the email on your seller account. Failure to provide this information may result in backup withholding at the IRS-required rate of 24%.

13. State Sales Tax & Your Tax Obligations
TheSoleRoom may collect and remit sales tax on transactions as required by applicable state and local law (pursuant to South Dakota v. Wayfair, Inc., 138 S. Ct. 2080 (2018) and subsequent state economic nexus laws). Where TheSoleRoom collects sales tax on your behalf, the tax is charged to the buyer and does not reduce your seller payout.
Your independent tax obligations are entirely your own. Sellers are solely responsible for determining, collecting (where applicable), reporting, and remitting all federal, state, and local income taxes, self-employment taxes, sales taxes, use taxes, and any other taxes or levies arising from their sales activity on TheSoleRoom. TheSoleRoom's collection of marketplace facilitator sales tax in certain states does not relieve you of any other tax obligation you may have.
